Owned by Fund Investors

Each Embark portfolio operates as an independent legal entity, fully owned by its investors. Proflex Finance acts as the appointed investment advisor, but holds no ownership stake in fund assets. Fund assets are structurally separate from the advisory firm.

If the advisory relationship ever changed, your fund and its assets would continue to exist independently. The fund structure is designed to survive any single party.

Institutional Asset Custody

We do not hold your assets.

Embark fund assets are custodied at Charles Schwab — one of the largest and most trusted brokerage firms in the United States, with over $9 trillion in client assets. Your shares are held in segregated accounts, not commingled with other fund assets or the advisor's capital.

Schwab accounts include SIPC protection up to $500,000 in securities and $250,000 in cash, with additional excess coverage.

Independent Fund Oversight

Each Embark fund undergoes a rigorous annual financial audit conducted by a PCAOB-compliant independent auditor. The audit verifies fund assets, income distributions, and adherence to the fund's operating agreement.

Audited financials and K-1 tax documents are provided to investors annually. Full transparency — no black boxes.

Registered and Regulated

Embark funds are offered under SEC Regulation D, Rule 506(c) — requiring verification that every investor is accredited. This isn't a suggestion; it's a legal requirement we enforce before any investment.

Proflex Finance LLC is a Registered Investment Advisor under the Investment Advisers Act of 1940. As a fiduciary, we are legally required to act in your best interest at all times.

Via tax-free §721 in-kind transfer. No sale, no capital gains tax. Your shares move from your brokerage to the fund's Schwab custody account.

Assets held at Charles Schwab

Your shares are custodied in a segregated fund account at Schwab. SIPC insured. Embark and Proflex never hold or control your assets directly — Schwab does.

Income generated via option strategies

Proflex, as the RIA, executes covered calls and other option strategies on the underlying stock. All trades execute through Schwab. Income is distributed to investors per the operating agreement.

Annual audit and K-1 reporting

An independent PCAOB-compliant auditor verifies fund financials annually. You receive a K-1 for tax filing and full transparency into fund performance.

Who holds my shares?

Your shares are held at Charles Schwab in a segregated fund account. Neither Embark nor Proflex Finance ever take custody of your assets. Schwab is the custodian of record.

Are my assets insured?

Schwab accounts receive SIPC protection up to $500,000 in securities and $250,000 in cash. Schwab also carries additional excess SIPC coverage through Lloyd's of London.

What happens if Embark or Proflex shuts down?

Each fund is an independent legal entity owned by its investors. Your assets remain at Schwab regardless of what happens to the advisory firm. The fund's operating agreement provides for orderly transition to another qualified advisor or liquidation at investors' direction.

How is income distributed?

Option premium income is distributed to investors per the fund's operating agreement. Distributions are typically made quarterly. All income and allocations are reported on your annual K-1.

What is SEC Reg D 506(c)?

Rule 506(c) of Regulation D allows companies to raise capital from verified accredited investors. Unlike 506(b), it permits general solicitation but requires the issuer to take reasonable steps to verify each investor meets the accredited investor standard — typically through income verification, net worth documentation, or third-party confirmation.

Is Proflex Finance a fiduciary?

Yes. As a Registered Investment Advisor, Proflex Finance has a fiduciary duty to act in clients' best interest at all times. This is a legal obligation, not a marketing claim. You can verify our registration on the SEC's Investment Adviser Public Disclosure page.

How do I verify the annual audit?

Each fund's audited financial statements are conducted by an independent PCAOB-compliant auditor and made available to investors. You can request a copy of the most recent audit at any time.
